PRACTICE EXPERIENCE:

Maria Cristina Villanueva had the privilege of working extensively with international lawyers relative to the financing, development and operation of major infrastructure, energy and water projects in the Philippines, which involved both domestic and international commercial banks, multilateral agencies, export credit agencies and institutional investors. She participated in the drafting, negotiation and review of key agreements as well as financing and security documents relating to these projects obtained on limited-recourse basis involving syndicated loans and international notes issuances. In the process, Ms. Villanueva was able to work closely with representatives of the relevant government agencies in the negotiation and drafting of key project agreements and consent documents.
She was also deeply involved in making representations to the BSP for obtaining its prior approval of the foreign loans comprising the various project financing transactions of her clients. Her work allowed her to handle and resolve difficult questions of law on these areas, including regulatory issues. It has also inspired her to focus her program of study in 1997 at the Cornell Law School on corporate law, with particular emphasis on mergers and acquisitions, secured transactions, environmental law, international business transactions, banking regulations, antitrust law, as well as major legal issues concerning foreign investment, infrastructure development and privatization, both in the international and domestic arenas.

Ms. Villanueva has led the firm's representation in advising a major tollway project on various project and financing matters and has also been significantly involved in the drafting, review and negotiation of several contracts required for the commercial operation of such project which was achieved during the first quarter of 2005.

In 2005, Ms. Villanueva led the firm's representation of a Philippine online gaming corporation which successfully completed its international corporate restructuring and an acquisition transaction whereby a foreign-based company acquired a significant stake in such Philippine corporation's parent company. Ms. Villanueva's legal team continues to provide legal services to such company and its affiliates in various countries on transactional matters and in the fields of corporate and intellectual property laws.

Ms. Villanueva is also currently leading the firm's representation in assisting a major concessionaire of water supply and sewerage services in the Philippines in the implementation of its corporate rehabilitation which involves the restructuring of both the debt and capital of such concessionaire. Such assistance includes the drafting and review of vital documents as well as the procuring of all approvals, governmental or otherwise, necessary to achieve the milestones imposed by the rehabilitation court for such concessionaire's capital restructuring, which involves the assignment by a government-owned and controlled corporation of its right to subscribe to the shares of such concessionaire, currently being undertaken by such government entity through competitive public bidding.
